Terms of Service

Welcome to the Team Claw suite (including Team Claw, WizTeam, Team CRM, collectively "the Platform"). These Terms of Service ("Terms") are an agreement between you ("User") and Team Claw Technology Sdn. Bhd. ("we", "us", or "our") regarding your use of the Platform services. Please read and understand all contents of these Terms before registering or using the Platform. By registering or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions

For clarity, the following terms in these Terms have the following meanings:

  • "Team Claw Suite": The collection of enterprise-grade digital products and services operated by Team Claw Technology Sdn. Bhd., currently including Team Claw Platform (enterprise digital employee platform), WizTeam (AI-native ERP system), and Team CRM (AI-native CRM system).
  • "We": Team Claw Technology Sdn. Bhd., the developer and operator of the Platform.
  • "User": Enterprises, organizations, or authorized individuals who complete the registration process and use Platform services. The Platform is designed for business users; registration should be made by legally established enterprises or organizations.
  • "Services": All SaaS software features, technical support, and related services we provide through the Platform.
  • "Business Data": All data and content related to your business that you enter, upload, generate, or store during your use of the Platform.

2. Service Content

1. Service Model

The Platform provides services in SaaS (Software as a Service) model. Users access and use the Platform via the internet without installing software locally. We are responsible for platform deployment, operations, upgrades, and security.

2. Product Features

Each product under the Team Claw suite offers different business function modules:

  • Team Claw: Enterprise digital employee platform, providing AI Sales Consultant, AI Implementation Consultant, AI Finance Assistant, AI Customer Success Consultant and other digital employee services, supporting cross-system collaboration and 24/7 proactive execution.
  • WizTeam: AI-native ERP system, providing natural language order entry, intelligent alerts, auto-generated business reports, inventory management, financial management, production management, and other features.
  • Team CRM: AI-native CRM system, providing customer management, lead tracking, AI Sales Consultant, deal prediction, script recommendations, and full lead-to-contract workflow management.

Specific features of each product are subject to the actual released version. We reserve the right to adjust features according to product planning.

3. Subscription Pricing

The Platform uses a subscription-based pricing model. Please refer to each product's pricing page for specific prices and packages. We may adjust prices from time to time, with advance notice as specified in these Terms.

3. Account Registration and Management

1. Business Registration

Users should register in the name of an enterprise or organization and provide true, accurate, and complete registration information. If registration information changes, users should update it promptly. All consequences caused by false or outdated information provided by users are the user's responsibility.

2. Account Security

Users should properly keep account login credentials (including but not limited to username, password, verification codes, etc.) and may not transfer, rent, or lend accounts to others. Users are responsible for account security issues caused by improper storage. If unusual account activity is detected, users should notify us immediately.

3. Account Ownership

Account ownership belongs to the registered enterprise. Enterprise administrators have the right to manage internal sub-accounts and permission assignments. When an enterprise undergoes merger, division, or other entity changes, please contact us to handle account changes.

4. Payment and Refunds

1. Billing Methods

The Platform offers monthly and annual billing. Users choosing annual plans enjoy approximately 17% discount (annual price is about 10 months of monthly price, equivalent to 2 months free).

2. Auto-Renewal

Unless users actively cancel before the current subscription period expires, subscriptions will automatically renew for the same billing cycle. We will remind users via email or platform notification before auto-renewal.

3. Cancellation Policy

  • Monthly users: After cancellation, service continues until the end of the current billing month.
  • Annual users: After cancellation, service continues until the end of the current annual subscription period.

4. Refund Policy

Our refund policy is as follows:

  • Monthly users can request a full refund within 7 days of subscription activation, provided the platform has not been heavily used.
  • Annual users can request a full refund within 15 days of subscription activation, provided the platform has not been heavily used.
  • For refund requests beyond the above period, we will calculate refundable amounts proportionally based on actual usage and remaining subscription time.
  • Accounts terminated due to violation of these Terms are not eligible for refunds.

5. Price Adjustments

We reserve the right to adjust service prices. Price adjustments will be notified 30 days in advance via platform announcements, email, etc. Price adjustments do not affect fees during users' current valid subscription period.

5. User Rights and Obligations

1. User Rights

Subject to compliance with these Terms, users have the following rights:

  • Use Platform features and services according to subscription package agreements.
  • Export business data to common formats (such as Excel) for local backup at any time.
  • Cancel accounts and delete data according to the procedures specified in these Terms.
  • Receive technical support services corresponding to the subscription package.

2. User Obligations

Users should comply with the following obligations when using the Platform:

  • Legal Compliance: Users should comply with applicable laws and regulations and may not use the Platform for any illegal activities.
  • Prohibited Illegal Use: Users may not use the Platform to store or transmit any illegal, infringing, or harmful content, including but not limited to content infringing others' intellectual property rights or privacy rights, as well as false or fraudulent information.
  • Reasonable AI Use: Users may not abuse the Platform's AI features, including but not limited to using AI features to generate illegal harmful content, maliciously consume AI resources, or attempt to extract or reverse engineer AI models.
  • No Resale: Without our written authorization, users may not resell, distribute, or provide Platform services or features to third parties in any form.

6. Our Rights and Obligations

1. Our Rights

  • Service Upgrades and Maintenance: We have the right to upgrade, update, and maintain the Platform and suspend services when necessary. For scheduled maintenance, we will notify users in advance.
  • Violation Handling: For users who violate these Terms, we have the right to take measures such as warnings, feature restrictions, service suspension, or account termination.

2. Our Obligations

  • Service Delivery: Provide stable, available services to users according to subscription package agreements.
  • Data Protection: Take reasonable technical and management measures to protect user data security, see our Privacy Policy.
  • Issue Response: Respond to user-reported technical issues and service requests in a timely manner.
  • Change Notification: Provide advance notice of major service changes affecting users.

7. Intellectual Property

1. Platform Intellectual Property

All intellectual property rights for the Platform's software, technology, interface design, documentation, trademarks, brand logos, etc. belong to Team Claw Technology Sdn. Bhd. Without our written permission, users may not copy, modify, decompile, disassemble, or otherwise attempt to obtain the Platform's source code.

2. User Data Ownership

Ownership of business data entered and generated by users on the Platform belongs to users. We do not claim ownership of user business data. During the subscription period and the data retention period after cancellation, users can export their business data at any time.

3. Feedback and Suggestions

If users provide product feedback, feature suggestions, or improvement opinions, we have the right to use this feedback to improve products and services without paying any fees or bearing other obligations to users.

8. Service Changes and Termination

1. User Cancellation

Users can cancel subscriptions at any time through platform settings or by contacting customer service. After cancellation, user data will be retained for 30 days, during which users can export data or apply to restore accounts. After 30 days, data will be permanently deleted.

2. Our Termination Rights

In the following circumstances, we have the right to terminate services to users:

  • User seriously violates these Terms.
  • User uses the Platform for illegal activities.
  • User's usage threatens Platform security or other users' normal use.
  • User has not logged in for 12 consecutive months and has not paid subscription fees.

3. Complete Service Termination

If we need to terminate all Platform services due to business adjustments or other reasons, we will notify all users 90 days in advance and assist users in completing data export and migration.

9. Liability Limitations

1. Indirect Damages

To the maximum extent permitted by law, we are not liable for any indirect, special, incidental, or punitive damages resulting from the use or inability to use the Platform, including but not limited to loss of profits, data loss, loss of goodwill, or business interruption.

2. Compensation Cap

In any case, our total compensation liability to users for Platform services does not exceed RM10,000 or the actual service fees paid by the user in the 12 months preceding the claim event, whichever is higher.

3. Force Majeure

We are not responsible for service interruption or data loss caused by force majeure factors (including but not limited to natural disasters, war, government actions, cyber attacks, power failures, telecommunications interruptions, etc.), but should take reasonable measures to restore services as soon as possible.

10. Dispute Resolution

1. Applicable Law

The formation, execution, and interpretation of these Terms are governed by the laws of Malaysia.

2. Negotiation

Any disputes arising from or related to these Terms should first be resolved through friendly negotiation.

3. Jurisdiction

If negotiation fails, either party has the right to submit the dispute to the competent courts in Kuala Lumpur, Malaysia.
